List of Services

Processing of a new corporation, limited-liability company or limited partnership or the qualification of an existing foreign business entity in Nevada for which Corporate Services Group or one of its member companies will serve as Registered Agent, includes (without extra fees) the following services:

• Name Availability Searches
• Filing of your Articles of Incorporation, Association or Partnership Certificate with the Nevada Secretary of State
• Filing all required Initial/Annual Lists of Officers and Directors, or Members and/or Managers (LLC) or General Partners (LP)
• Full year's Registered Agent service
• Providing customer Employer Identification Number application and Subchapter S election form
• Filing Change of Registered Agent form which designates Corporate Services Group or one of its member companies as Registered Agent
• Providing, at a modest charge, corporate or limited-liability company record book, containing:
1. Customized stock or membership certificates imprinted with corporate or limited-liability company name and other pertinent information
2. Stock transfer or membership ledger
3. Printed minutes & bylaws or operating agreement
4. Embossing Seal
5. Special forms including Federal forms, IRS requirements for Subchapter S election, medical and dental reimbursement plan, section 1244 forms, annual meeting forms

ADDITIONAL SERVICES AVAILABLE:

• Mail forwarding service
  
  As Registered Agent, we will provide mail forwarding service for FIRST CLASS MAIL (forwardable without additional postage charges under Postal Service Rules) addressed to a corporation/limited-liability company/limited partnership, which is a client of ours only under the following terms:

1. Only FIRST CLASS MAIL addressed to a NAMED CORPORATION, LIMITED-LIABILITY COMPANY or LIMITED PARTNERSHIP or contact person associated with the named entity, which is a client of ours will be forwarded.
    

2. Forwarding Service TERMINATES if the forwarding fee is not paid, if the filing status lapses with the Nevada Secretary of State or if we cease to be the Registered Agent.
    

3. Forwarding will be directed only to the NAME OF A CORPORATION, LIMITED-LIABILITY COMPANY or LIMITED PARTNERSHIP which is our client at the time mail is received by us.
    

4. Forwarded mail will only be directed to an address where the Postal Service will pick it up and deliver it without additional postage.
    

5. Forwarded mail will be directed only to a single forwarding address which is provided to us in writing (this may be done by facsimile or email) by the contact person or his/her successor.  Changes of the forwarding address will only be honored after we receive a written notice specifying a new forwarding address.
    

6. You can select from two available options:
   STANDARD (OPTION A): You can prepay $90.00 ($190 for non U.S. contact locations) per year as a service fee for up to 10 pieces of First Class letter mail per month.
   SPECIAL (OPTION B): You can prepay $90.00 ($190 for non U.S. contact locations) service fee plus $100.00 as a deposit on the expenses of mailing of any number of letter mail items which will be billed to you at the rate of $24.00 per hour clerk's time plus mailing materials and postage.  You will be invoiced when your deposit nears exhaustion.  Should we receive a quantity of items suggesting a time and expense commitment in excess of your deposit balance, we will invoice you for the estimated charges.  If your deposit is not replenished you will be automatically switched to Standard service (OPTION A).
    

7. Packages are not acceptable for forwarding service, and will be refused, except for small packages from your financial institution.
    

• Use of board room at Corporate Services Group offices in Las Vegas can be arranged at the rate of $75.00/1/2 day, $150.00/day.

• Corporate Set-Up: Preparation of Initial Minutes of Incorporators, First Board of Directors and Stockholders (billable at $60/hr word processing time).

• Securing Certificates of Good Standing for customer:  $205.00 (Certificate received within 48 hours).

• Virtual Office Package: If it is important for you to establish the physical presence of your business in Las Vegas, you should consider the virtual office package priced at $600 per year, plus OPTION B mail forwarding at $90 ($190 for non U.S.) plus $100 deposit against costs.
